Plena Terms of Service
1. Service provider
Plena is provided by Meroviq. Questions may be sent to plena@meroviq.com.
2. What Plena is
Plena is a local-first planner for creating and managing plans, recurrence rules, reminders, completion history, checklists, notes, attachments, and optional location-based alerts. Plena does not require a Meroviq account or sign-in and does not operate a Meroviq cloud database for your planner content.
3. Local data and attachments
Your planner content is primarily stored on your device. This may include titles, notes, recurrence rules, reminder settings, completion records, favorite places, checklists, photos, PDF attachments, and related app settings. If you remove the app or erase its data without a usable backup, local data may be lost.
4. Notifications, alarms, and location alerts
Plena may schedule time-based notifications and, when you enable the feature and grant permission, location-based alerts. Delivery depends on the operating system, permissions, battery-saving rules, background execution limits, device state, network or map services where applicable, and other conditions outside Meroviq’s control. Notifications may be delayed, suppressed, or fail to appear.
Do not rely on Plena for emergency, medical, safety-critical, legal-deadline, or other situations in which a missed or delayed alert could cause serious harm.
5. Voice and map features
If you choose voice input, Plena uses operating-system speech recognition capabilities. Depending on your device and settings, speech processing may occur on-device or may be handled by the operating-system provider. Plena does not operate its own speech-recognition server.
If you use map or location features, Plena may use device location services, operating-system geocoding, and third-party map tiles. Those platform or map providers may process requests under their own terms and privacy policies.
6. Backup and restore
Plena can create an encrypted backup file and lets you choose a destination through the operating system’s file picker. Available destinations may include local storage or third-party file providers such as iCloud Drive, Google Drive, or other providers installed on your device. Meroviq does not operate a Plena backup server.
You are responsible for keeping important backups accessible and for protecting any backup password or external storage account you use. Availability, retention, synchronization, and recovery offered by third-party file providers are controlled by those providers.
7. Free trial and Plena Pro
Plena currently provides a 60-day full-feature trial. After the trial expires, existing plans and history remain available for supported viewing and completion actions, while creating new plans and certain editing or import actions require Plena Pro.
Plena Pro is a one-time lifetime in-app purchase for the platform on which it is purchased. Purchases, pricing, taxes, payment processing, refunds, and store-account restoration are handled by Apple App Store or Google Play under the applicable store terms. Because Plena has no Meroviq account or cross-platform entitlement backend, an Android purchase does not automatically transfer to iOS, and an iOS purchase does not automatically transfer to Android.
8. Your content
You keep any rights you have in content you create or attach in Plena. You are responsible for ensuring that your notes, attachments, imported data, and shared exports are lawful and do not infringe the rights of others.
9. Sharing and external services
When you choose to share, export, open a legal page, send email, add data to an external calendar, or save a backup to an external provider, the operating system or selected third-party service may process that information. Those actions are initiated by you and are governed by the relevant provider’s terms and privacy practices.
10. Acceptable use
- Do not use Plena unlawfully or to infringe another person’s rights.
- Do not attempt to disrupt, compromise, or misuse the app, its distribution channels, or third-party services used with it.
- Do not use Plena to distribute malware or deceptive content.
11. Privacy
The Privacy Policy explains how information is processed in connection with Plena.
12. Open source and third-party components
Plena includes open-source software and third-party components. Notices are available at Open Source Licenses.
13. Changes to Plena or these Terms
We may update, modify, suspend, or discontinue features of Plena and may update these Terms. Where applicable law requires notice of a material change, we will provide appropriate notice.
14. Disclaimers
Plena is provided “as is” and “as available.” To the maximum extent permitted by law, Meroviq does not guarantee uninterrupted operation, error-free reminders, permanent availability of third-party services, or successful recovery of data from a backup. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
15. Limitation of liability
To the maximum extent permitted by law, Meroviq will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, goodwill, or business opportunities arising from use of Plena. This limitation does not apply where liability cannot lawfully be limited.
16. Governing law
These Terms are governed by the laws applicable to Meroviq, without regard to conflict-of-law principles, except where mandatory consumer-protection laws in your jurisdiction require otherwise.
